1. Introduction
Welcome to Madourie & Co. These Terms & Conditions (“Terms”) govern the sale of goods and services through our website, email, or direct channels. By placing an order with us, you agree to be bound by these Terms.

2. Orders & Pre-Orders
• 2.1 Pre-Orders:
Certain items are sold on a pre-order basis, meaning stock is not immediately available at the time of purchase.
• All pre-orders are subject to lead times, which may vary depending on supplier availability, customs clearance, and shipping conditions.
• Any estimated delivery dates provided are indicative only and not guaranteed.
• 2.2 Commitment:
Once a pre-order is placed and accepted, we commit to securing the stock on your behalf, and as such, pre-orders are non-refundable once processed and confirmed.
• 2.3 Delays:
While we make every effort to deliver within agreed timelines, Madourie & Co. shall not be held liable for delays outside of our direct control, including but not limited to:
• Manufacturer/supplier issues
• Port or customs delays
• Courier or freight service disruptions

3. Pricing & VAT
• 3.1 Pricing:
All prices are listed in GBP (£) and may be subject to VAT depending on the company’s registration status at the time of invoicing.
• 3.2 VAT:
• If Madourie & Co. is VAT registered at the time of your payment, VAT will be added to your invoice and must be paid in full.
• If a non-VAT invoice is issued prior to registration but payment is received after the VAT effective date, VAT will be charged in accordance with HMRC requirements.
• It is your responsibility to ensure you are VAT registered if you wish to reclaim input tax.

4. Payment Terms
• 4.1 Deposits:
Some orders may require a non-refundable deposit to secure stock. This is clearly stated on invoice or product descriptions.
• 4.2 Balance Payment:
Final payment is due on or before shipment unless otherwise agreed in writing. Failure to pay may delay delivery.

5. Refunds, Cancellations & Returns
• 5.1 Pre-Order Refunds:
As all pre-orders are made to order, they are non-cancellable and non-refundable once confirmed. This is due to the cost committed upfront on your behalf.
• 5.2 Stock Orders:
For ready stock orders, cancellations or refunds are only accepted prior to dispatch, and at the sole discretion of Madourie & Co.
• 5.3 Returns:
Returns for damaged or faulty goods must be reported within 3 working days of receipt with full photo evidence. Return approval is at the discretion of our team.

6. Risk & Title
• 6.1 Title of goods passes to you upon full payment.
• 6.2 Risk in the goods transfers upon delivery to your nominated address or carrier.

7. Limitation of Liability
Madourie & Co. is not liable for indirect losses, loss of profits, or delays caused by third-party logistics, customs authorities, or acts of God. Our total liability is capped at the value of the order.

8. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the English courts.
